Interviewed by:
Anne Sheehan
Director of Corporate Governance, CalSTRS more

How do investors assess your board? Ralph Whitworth, one of the most prominent investor activists in the US, and Anne Sheehan, head of corporate governance at CalSTRS, the 2nd largest public pension fund in the US, have a lot to say on the subject!

Relational invests in underperforming companies, that it believes are undervalued in the marketplace, engaging with the board and management to generate positive changes. Whitworth has served on such boards as Apria Healthcare, Waste Management, Inc, Sirius Satellite Radio, Inc., Sovereign Bancorp, Inc. and Sprint Nextel.

He was recently seated on the board of Hewlett-Packard to help shore up investor confidence shaken by strategy shifts and slashed sales forecasts. As investors, Whitworth and Sheehan played a pivotal role in the 2010 CEO turnover at Occidental Petroleum.

You will get an insider’s peek into those boardrooms and they will also discuss:

  • What makes a company a target for shareholder activism?
  • What should a CEO do if he/she gets a call from an investor activist?
  • How should boards interact with an activist?
  • The growing interest investor activists are taking in smaller companies today
  • What are the common characteristics of an effective board?
  • What board behaviors are red flags for investors?
  • Do investor activists really unlock shareholder value in the long-term?

Don’t miss out - and bring your questions too!
