Few topics today generate more heat—and headlines—than executive compensation. Nothing raises eyebrows—or ire—more quickly. Poorly designed incentive plans were widely blamed for contributing to the financial crisis, and companies, shareholders and Congress collectively jumped in to fix it.
Our panel will look at all that has occurred as a result of the shareholder activism and pay legislation enacted this year. They will look at the salient data in the “post-proxy shakeout”; and current executive pay levels, practices and trends that are emerging as a result.
Did comp committees listen to shareholders/change their behavior? What can we glean from the say-on-pay votes, in so far? What are the problematic pay practices that trigger “no” votes? What do you do with a “no” vote? What more lies ahead on the on the regulatory horizon? Do private company boards feel the ripple effect?
Getting “pay for performance” right is still an on-going challenge and no one plan fits all companies or even executives within a company. It is imperative that comp committees get it right: pay plans must be must be linked to companies’ strategic objectives and properly incentivize employees to focus on both long and short-term goals. Easier said than done.
